--- title: "Terms of Sale: Myrmid" description: "B2B commercial terms for design-partner cohort engagements and platform subscriptions when they ship. Pricing, payment, cancellation, liability, governing law." canonical: https://www.myrmid.ai/en/tos/ --- Sales terms # General terms of sale Last updated: 2026-10-18 These general terms of sale (CGV, _conditions générales de vente_) govern the commercial relationship between Myrmid and its business customers for the Myrmid service. ## Scope These terms apply only to transactions between Myrmid and a business customer (B2B). A signed order form or a specific agreement between Myrmid and the customer prevails over these terms where they differ. ## The service Myrmid is Workspace for the work, Workforce for hiring, Knowledge and Cockpit, with the Companion alongside you in each of them. One plan covers all of it: there is no separate price for any one part. ## How you subscribe today Organisations are opened on request: you ask through this site, confirm your email address, and we open the organisation once the request is approved. No payment is taken online, on this site or in the service. Paid plans, packs and commitments are ordered from us and invoiced. ## Plans - **Crew, Department, Division and Company** are monthly plans at a fixed price in euros. - **Enterprise** is an annual plan, quoted for the customer. - **Singularity** is a plan for one seat. Each plan includes a number of seats, a capacity and a monthly amount of credits. There is no limit on the number of agents or teams. ## Capacity - **What capacity is.** Capacity, written "cu" (for example, 12 cu), is how much of your workforce can work at the same time. Capacity is not billed and has no cash value. - **When capacity is full.** New work waits its turn, in order, and starts as soon as capacity frees up. Work that is waiting draws no credits. - **The burst reserve.** Capacity your organisation leaves unused fills a burst reserve, counted every 15 minutes, up to one full day of your plan's capacity. While the reserve holds anything, your workforce can run at up to three times its plan's capacity, drawing on the reserve. When the reserve is empty, work already running finishes, and new work above your capacity waits. A new organisation starts with a full reserve. ## Crew's first month A new organisation starts on the Crew plan, and its first month is free. During that month it has everything Crew includes: the same seats, capacity, credits and Companion allowance. There is no advertising. One free month is offered per company. We may decline a further free month to the same company, recognised by its payment details or its verified email domain. Before the free month ends, we ask you to confirm your plan and how you will pay. If you do not, at the end of the month your workforce stops and nothing more is drawn. Everything your organisation built stays yours and can be exported for 30 days, after which the organisation and its data are deleted. ## Credits - **What a credit is.** Credits, written "c" (for example, 450 c), are a unit of work your agents draw as they run. A credit is not money and not a currency, and it has no cash value. - **What a task drew.** Your organisation can see in Cockpit what each piece of work drew. - **The Companion's allowance.** Each seat includes 30 c of the Companion a month. This allowance is shown to you, is not drawn from your plan's credits, and does not roll over. - **Your plan's credits.** The credits included in your plan each month roll over for one month. - **Packs.** A pack is a fixed amount of credits at a fixed price, bought at any time. Pack credits never expire. - **Add-on blocks.** An add-on block is a recurring monthly amount of credits, which you can change or cancel monthly. Its credits roll over for one month. - **Prepaid commitments.** With a prepaid annual or two-year commitment, credits left unused at the end of the term become permanent credits that never expire, at the price you paid for them: you keep what you paid for, and give up only the commitment's discount on what you did not use. ## Prices Prices are the ones shown when you subscribe, or the ones in your order form. Every price, invoice and payment is in euros, with VAT applied as the law requires. ## Payment terms Where invoices apply, payment terms default to 30 days net from issue, in EUR, by SEPA bank transfer. Any late-payment penalty applied in line with French commercial law (Art. L. 441-10 of the Code de commerce). A fixed indemnity of €40 is added per Art. L. 441-10 II for late payment; additional collection costs are recoverable on justification. ## Cancellation and refunds You can cancel a monthly plan at any time. It stays active until the end of the month already paid, and the unused part of that month is not refunded. Rolled-over credits stay usable until the plan ends. A prepaid annual or two-year commitment can be ended early, without refund. The credits left unused become permanent credits that never expire, on the same terms as at the end of the term. ## Liability Myrmid's liability is capped at the amount paid by the customer over the 12 months preceding the event giving rise to the claim. The cap does not apply to gross negligence, wilful misconduct, or any liability that cannot be excluded under French law. ## Governing law These terms are governed by French law. The competent courts are those of Paris, except where French consumer-protection law mandates otherwise (it does not for B2B contracts). ## Updates These terms are updated as the company's commercial offer evolves. The "last updated" date at the top reflects the most recent change. Customers are notified of material changes that affect existing engagements.
